This term sheet (“Term Sheet”) summarizes the principal terms of financing for  Company Name, a Delaware corporation (“Company”), contemplated by  Company Name, a  Delaware corporation (“Investor”) (each a “Party” and together the “Parties”).

Except for Section 11, "Binding Terms" this Term Sheet does not contain legally binding obligations. Legally binding obligations will only be made pursuant to agreements to be negotiated and executed by the Parties. This Term Sheet is not a commitment to invest, and is conditioned on the completion of due diligence, legal review, and existence of documentation that is satisfactory to Investor. This Term Sheet is governed by and construed in accordance with the laws of the State of New York, excluding its conflict-of-laws provisions.
